Definitions

Payments and Refunds

  • Clients must adhere to the payment terms outlined in their agreement.

  • Payments are non-refundable unless explicitly stated in a signed agreement.

  • Late payments may incur penalties, including service suspension or termination.

  • Any project paused due to non-payment may require a reactivation fee to resume work.

Intellectual Property Rights

  • Culture Brand Consulting retains all rights to any templates, methodologies, or tools used in delivering services.

  • Upon full payment, the Client will receive ownership rights to custom designs, branding materials, and website content as per the agreement.

  • Clients may not claim ownership of, resell, or redistribute any proprietary materials provided by Culture Brand Consulting.

Client Responsibilities

  • Clients must provide all necessary materials, information, and approvals in a timely manner.

  • Clients are responsible for securing necessary licenses, copyrights, or permissions for any content they provide.

  • Any delays caused by the Client in providing requested materials or approvals may result in timeline adjustments and potential additional fees.

Revisions and Approvals

  • Each service includes a limited number of revisions as specified in the agreement.

  • Additional revisions beyond the agreed amount may be subject to extra fees.

  • Clients must approve final deliverables in writing before project completion.

Confidentiality

  • Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the project.

  • Culture Brand Consulting will not disclose client information to third parties unless required by law or with explicit client consent.

Limitation of Liability

  • Culture Brand Consulting is not liable for any indirect, incidental, or consequential damages arising from the use of our services or website.

  • We do not guarantee specific results from branding, SEO, or marketing efforts due to external factors beyond our control.

Termination of Services

  • Either party may terminate an ongoing agreement with written notice.

  • If the Client terminates the agreement before completion, no refunds will be issued for work already completed.

  • Culture Brand Consulting reserves the right to terminate an agreement if the Client breaches any terms or engages in unethical behavior.

Third-Party Services

  • We may recommend or use third-party tools or services as part of our solutions. Culture Brand Consulting is not responsible for issues arising from third-party providers.

  • Clients agree to the terms of any third-party services used in their projects.

Website Hosting and Maintenance

  • If Culture Brand Consulting provides website hosting and maintenance, the terms of service will be outlined in a separate agreement.

  • Clients are responsible for ongoing maintenance if they choose to host their website independently.

Dispute Resolution

  • Any disputes arising from these Terms shall first be attempted to be resolved through negotiation.

  • If no resolution is reached, disputes will be subject to mediation or arbitration in New York State.

  • The prevailing party in any dispute may recover reasonable legal fees and costs.

Changes to These Terms

  • Culture Brand Consulting reserves the right to update these Terms at any time.

  • Continued use of our Site or services after changes are made constitutes acceptance of the revised
